Welcome to Coresium (“Company,” “we,” “our,” or “us”). By accessing or using our website and services, you (“Client,” “you”) agree to these Terms of Service (“TOS”).
Please note: This TOS is a standard framework that applies to general use of our website and services. For client projects, a separate Master Services Agreement (“MSA”) or Service Level Agreement (“SLA”) will govern the specific scope, pricing, and obligations. In the event of any conflict, the terms of the MSA or SLA will prevail.
1. Services
We provide sales and marketing services. Details such as scope, deliverables, timelines, and pricing are defined in a separate written agreement with each client.
2. Client Responsibilities
Clients agree to:
Provide accurate, complete information as reasonably required for us to perform services.
Cooperate in good faith, including timely approvals and access to relevant resources.
Use our deliverables in compliance with all applicable laws and regulations.
3. Payment
All fees, schedules, and invoicing will be outlined in the respective MSA, SLA, or invoice. Late payments may incur interest or suspension of services.
4. Confidentiality
Both parties agree to keep confidential any non-public information shared in connection with services, except as required by law or with prior written consent.
5. Intellectual Property
Unless otherwise agreed in writing:
Deliverables created specifically for the client may be licensed for their intended business use.
Underlying methods, processes, tools, and intellectual property developed by Coresium remain the property of the Company.
6. Warranties & Disclaimers
Our services are provided “as is”. Except as expressly set out in a written MSA or SLA, we do not guarantee specific business results or outcomes.
7. Limitation of Liability
To the maximum extent permitted by law:
We are not liable for indirect, incidental, or consequential damages.
Our total liability is capped at the fees paid to us by the client in the 12 months preceding the claim.
8. Indemnification
Clients agree to indemnify and hold harmless Coresium from any claims, damages, or expenses arising from their misuse of our services, violation of laws, or use of deliverables in a manner not authorized by us.
9. Termination
Services may be terminated as set out in the applicable MSA or SLA. Upon termination, clients remain responsible for payment of all services rendered up to the termination date.
10. Force Majeure
We are not liable for delays or failures caused by events beyond our reasonable control, including but not limited to natural disasters, internet outages, labor disputes, government actions, or pandemics.
11. Governing Law & Dispute Resolution
These TOS are governed by the laws of Delaware, United States. Any disputes shall first be addressed in good-faith negotiation, and if unresolved, settled by binding arbitration in Delaware, unless otherwise specified in an MSA or SLA.
12. Miscellaneous
Assignment: Clients may not assign their rights under this TOS without our prior written consent.
Entire Agreement: This TOS, together with any applicable MSA or SLA, forms the entire agreement between the parties and supersedes prior discussions.
Survival: Confidentiality, IP, indemnity, and limitation of liability obligations survive termination.
13. Updates
We may update this TOS from time to time. Updates will be posted on our website, and continued use of our services after changes constitutes acceptance.
